The Power of Attorney specifies it covers personal reationships and affairs but does not specify business operating transactions. The assembly is part of an incorporated club. But if you are a corporation, your articles of incorporation, bylaws, state law or code, or a combination of these, may supersede the rules in RONR. A Power of Attorney may carry out certain functions, just as making sure membership dues are paid, but may have other rights. None of us here are lawyers, so cannot help you with specific issues.
