  1. Do the positions have different term lengths? Couldn't someone apply to the position with the term length remaining that is desired?
  2. What are these positions (officers, board, or committee members)? What exactly is the term of office? Are you filling vacancies and electing new members?
  3. Generally, motions that are adopted in conflict with the bylaws are null and void. At the next meeting, raise a point of order on the adopted motion.
  4. Generally, the validity of an adopted motion has nothing to do with whether it was recorded in the minutes. Would you explain what you mean by "a point of law"?

  7. Minutes are a record of what was done at a meeting, not a record of what was said.
  8. Your organization can put whatever it wants in its bylaws as long as it follows the rules for doing so.

  10. Since your organization has disciplinary procedures different from those in RONR, it will be up to your organization to determine the answer to your question.
  11. Members have to be physically present to participate unless your bylaws provide otherwise. Also see FAQ #19.
  12. Members of the body that is meeting have the right to vote at that meeting.
  13. No. They would have to go through whatever your process is to be elected.
  14. I'm not sure of what is being described here. What body is meeting? Who are "camera people"? Who are the "people telling them"? Are they members of the body that is meeting?
  15. Generally a motion to censure is simply an expression of opinion (it would not cause the initial vote to be re-voted upon). There may be applicable law which would control in your situation. An attorney should be consulted in that case.
  16. In RONR, a member has the right to abstain. Your rules may say otherwise.
  17. Would it be any better if the chair could not call the next meeting of a committee? Where does "at any time whatsoever" come from?

  19. Vacancies should be filled in accordance with the bylaws.
  20. The president could announce the appointments at the next meeting at the time of the president's report.
  21. The results should be announced at the next meeting. The minutes of that meeting would contain the results.
