  1. It appears your bylaws give the executive board the power of appointment. How is a quorum defined for your board?
  2. Only if the bylaws give the president such power.
  3. In that case, the vice president automatically became president unless your bylaws specifically provide otherwise.
  4. Generally, an adopted motion could be amended using the motion to Amend Something Previously Adopted. Do your rules require board approval before going to the membership? Is notice required?

  12. After debate has closed, the chair puts the motion to a vote.
  13. Raise a point of order that the action taken is in conflict with the bylaws and is null and void.
  14. Couldn't the membership meet to fill the vacancies?
