Voting on Bylaws Amendments via Email

Our bylaws state, “Voting by proxy and/or absentee ballot is prohibited.”

And—
“ARTICLE XV: AMENDMENTS
These PTA bylaws may be amended by a two-thirds (%) vote of the members present and voting, a quorum having been met, at any general membership meeting, provided that these requirements have been complied with”

Can the executive board and membership vote on bylaws amendments via email?

The executive board cannot vote on bylaws amendments at all. Your bylaws (quoted above) state that it is the members who have the power to amend the bylaws. Of course, if the members of the executive board are members of the association, they can vote as members at a general membership meeting.

The membership can vote on bylaws amendments, but only at a general membership meeting (see the bolded part of your bylaws in the quote above), so not by email.
