  1. Do your bylaws authorize doing business by a yahoo list?
  2. It would have to be in the call of the special meeting and meet the notice requirements in your bylaws for calls of special meetings.
  3. No, it would have to be in the call of the meeting. Also, it would have to be at a membership meeting.
  4. Minutes are a record of what was done at a meeting, not a record of what was said. And see FAQ #16.
  5. Also, I suggest amending "Article VI: Rules of Order" in your bylaws to use the right book (see here).
  6. Unless your bylaws specifically provide otherwise, the vice president automatically becomes president if there is a vacancy in that position.
  7. Why couldn't the notice be included in the call of the February meeting?
  8. Questions about campaigns and elections in the states are beyond the scope of this forum.
  9. How are meetings scheduled according to your bylaws? Do your bylaws authorize special meetings?
  10. The body that elected the secretary would fill the vacancy.
  11. The president only has such powers that the bylaws provide. Fill the vacancy according to your bylaws.
