    It appears that the organization wants to do something but not pay for the something.
  2. The bylaws can be amended by following the procedures in the bylaws for their amendment.
  3. The executive committee only has such power that the bylaws provide. Unless your bylaws provide otherwise, the resignation would have to be accepted at a club meeting and the club would hold an election to fill the vacancy.
  4. Then I would think that the club would accept the resignation and fill the vacancy.
  5. Do your bylaws give the executive committee the power to accept resignations and fill vacancies?
  6. The rules in your bylaws would supersede those in RONR.

  8. What is the process for appointing and approving new officers? Do the officers serve until their successors are elected?
  9. Your organization could define "constituent groups" however it wants.
  10. Bring up the postponed motion at the next meeting. Then a majority vote decides.
  11. The chair would appoint someone who would be approved.
  12. Generally, the minutes are a record of what was done at a meeting.
  13. Unless your bylaws specifically provide otherwise, the first vice president automatically becomes president when there's a vacancy in that position.

  15. It may be worth mentioning that guests cannot see the signatures.
  16. At the time the second motion was made, a point of order could have been raised. It is too late to raise a point of order now. The adopted motion could be rescinded or amended.
  17. A 4-3 vote is a majority vote.
  18. What is meant by "over rule"? More details may be helpful.
  19. Absentee voting is prohibited unless authorized in the bylaws.
  20. "An election to an office becomes final immediately if the candidate is present and does not decline, or if he is absent but has consented to his candidacy. If he is absent and has not consented to his candidacy, the election becomes final when he is notified of his election, provided that he does not immediately decline. If he does decline, the election is incomplete, and another vote can be taken immediately or at the next meeting without further notice." RONR 11th ed., p. 444, ll. 18-25.
  21. The chair should ask for the affirmative votes followed by the negative votes.
