  1. At a membership meeting, the members control the meeting and not the board. If not specified in the bylaws, a quorum would be a majority of the members.
  2. The minutes should simply say, "The motion was adopted."
  3. If the question is, "Does defeating a motion to not do something adopt the motion to do it," the answer is "No."

  5. Also, Minutes are a record of what was done at a meeting, not a record of what was said. So the discussions wouldn't be in the minutes anyway.
  6. That would pass the requirement of a majority vote (see FAQ #6).
  7. It appears that "a candidate for membership becomes a new member when 1) elected by 2/3 vote of active members of the chapter in January AND 2) pays dues and installation fees by March 1."
  8. Do your rules require the board to approve a new mission statement? What do your bylaws say regarding their amendment?

  10. RONR describes a "standard" order of business. An agenda could be used when the "standard" order of business does not apply. It is a duty of the secretary to prepare an order of business to be used by the presiding officer.
  11. The answer to your question would have to be found in your rules.
  12. If possible, the chair should let the floor alternate between those in favor and those opposed.
  13. See RONR 11th ed., p. 358 for what exactly constitutes Unfinished Business. Previously discussing a topic does not make it unfinished business.
  14. And at the next board meeting, the new business could be brought up under New Business.
