  4. Generally a trial would be required as part of the disciplinary procedures in RONR. Also, a motion of censure could be adopted without going through disciplinary procedures.

  6. Generally an adopted motion could be amended at the next meeting and there is no limit to the number of subsequent meetings this could be done.
  7. In this case, the bylaws could be amended to allow nonmembers in the meeting room.

  9. RONR says that the vice president would automatically be president for the unexpired term, or remainder of the term. Does this also apply for an expired term?
  10. The vice president would preside at meetings in the absence of a president.

  12. In this case, there would be no president until a new one is elected. Perhaps the bylaws could be amended to include the successor language.
  13. Generally those receiving a majority vote would be elected. There could be nominations from the floor and write in votes.
  14. Is there "until a successor is elected" in your bylaws?
  15. No rule in RONR requires recusal. A member could choose to not participate.
  16. Generally it is not appropriate to make verbal accusations at a meeting. Unless your bylaws say otherwise, the board does not have the power to expel members and expulsion of members would include investigation and trial as part of the disciplinary proceedings described in RONR.
  17. Not having minutes does not affect the validity of the decisions made.
