  9. That's correct that executive decisions don't exist unless your bylaws provide for them. So "No" to your question.
  10. Then the body that elected members to the board would fill the vacancies (see RONR 11th ed., pp. 467-468).
  11. A position is vacant if no one is in it. Did the secretary resign?
  12. The membership could adopt rules for debate at membership meetings. The board could adopt debate rules for board meetings.
  13. No. And generally, committee reports are not to be voted on. You would vote on motions coming from the reports.
  14. Your organization could decide the details of the corresponding secretary.
  15. Not much can be done if the members don't want to follow the rules.
  16. If a ballot vote is required, then it must be done.
  17. RONR does not recommend having co-chairs. If your rules allow for them, it will be up to your organization to decide these issues.
  18. Since an incorporated society is being dissolved, an attorney should be consulted on the legal requirements.
